IT IS CLEARLY SPELLED OUT BY THE CITY ATTORNEY BARBARA PARKERS LEGAL OPINION OF MARCH 3, 2020 "PRIOR TO 2019 OAKLAND PROMISE HAS NOT BEEN A NON-PROFIT " and after 2019 to the present OAKLAND PROMISE is still not a lawful NON-PROFIT. Nor has OAKLAND PROMISE merged with EAST BAY COLLEGE FUND. OAKLAND PROMISE has a Fraudulent designation as 501(C)3 tax-exempt nonprofit public benefit corporation and has never filed nor received a LETTER OF DETERMINATION FROM THE LAWFUL ISSUING AGENCY THE INTERNAL REVENUE SERVICE.[See Federal Statute 501(C)3. Nor has OAKLAND PROMISE contrary to any news article or what appears on the California Secretary of State's Website, listed as OAKLAND PROMISE. EAST BAY COLLEGE FUND Amended and Restated their Articles of Incorporation on June 27, 2019 and changed their name to OAKLAND PROMISE. This name change is not the subject matter organization that is the focus of my lawsuit. Mayor Libby Schaaf's OAKLAND PROMISE was launched in 2016 and the OAKLAND PUBLIC EDUCATION FUND continued to be OAKLAND PROMISE fiscal sponsor until OAKLAND PUBLIC EDUCATION FUND signed an Exit Agreement in 2019 absolving themselves of any further fiduciary responsibility for OAKLAND PROMISES fiscal obligations. EAST BAY COLLEGE FUND was co-founded in April 2003 with an EMPLOYER IDENTIFICATION NUMBER [54-2103707]. Mayor Libby Schaaf's can not possess the same. EIN. Neither can there be two 990's be filed for the calendar in 2017 one filed by EAST BAY COLLEGE FUND in 2018 with an EIN 54-213707 and another 990 filed CEO Mia Bonta of OAKLAND PROMISE for calendar year filed in 2019.; with the same EIN 54-2103707. Additionally, there has never a merger between OAKLAND PROMISE AND EAST BAY COLLEGE FUND pursuant to the California Corporation Code 6010(a), simply stated "only two nonprofits are able to merge "; then the California Attorney General issues a CERTIFICATE OF MERGER. Mayor Libby Schaff has yet to provide the authorizing required documents A LETTER OF DETERMINATION from the IRS Nor has she provided a CERTIFICATE OF MERGER, from Charitable Trust Division from the CALIFORNIA Attorney General affirming OAKLAND PROMISE LEGAL STATUS as a 501(C)3 tax-exempt nonprofit public benefit corporation, a clear violation under 26USC 7202.
